Compliance & Governance

Stay compliant. Stay protected. Stay focused on growth.

Every company and LLP registered in India carries continuing obligations to the Registrar of Companies. We manage those filings end to end — from the annual return through to event-based forms — so your records stay clean and your directors stay in good standing.

Overview

What ROC compliance actually covers

ROC compliance is the set of filings a company or LLP must submit to the Registrar of Companies, through the Ministry of Corporate Affairs, to remain in good standing under the Companies Act, 2013. It is not a single annual event. It is a rolling calendar of returns, disclosures and event-based forms.

The cost of getting it wrong is rarely the filing fee. It is the additional fees that accrue per day of delay, the director status risk attached to DIR-3 KYC, the notices from the MCA, and the awkward moment when a lender or investor runs a diligence check and finds the master data out of date.

We work with Chartered Accountants and Company Secretaries to review what is outstanding, regularise the backlog where one exists, and then hold the calendar going forward.

Scope

What we handle

  • 01

    Annual ROC filings

The full annual cycle — preparation, review and filing support for the returns falling due after your AGM.

  • 02

    AOC-4 filing

Filing of the financial statements, with the balance sheet, profit and loss account and supporting attachments in the prescribed format.

  • 03

    MGT-7 and MGT-7A filing

The annual return capturing shareholding, directors, meetings and every change recorded during the financial year.

  • 04

    DIR-3 KYC filing

Annual director KYC, including the web-based route where eligible and the full form where details have changed.

  • 05

    LLP annual compliance

Form 11 annual return and Form 8 statement of account and solvency, prepared against your partner and contribution records.

  • 06

    Event-based compliance

Director appointments and resignations, registered office changes, share capital changes, charge creation and satisfaction.

  • 07

    Company strike-off assistance

Where a company is genuinely dormant and closure is the right commercial answer, support through the strike-off route.

  • 08

    Compliance calendar management

A maintained calendar of what falls due and when, so the next cycle is scheduled rather than remembered.

Fit

Who this is for

Private Limited Companies
Annual return, financial statements, board and general meeting records, and every event-based filing in between.
Limited Liability Partnerships
Form 8 and Form 11 obligations, which apply regardless of whether the LLP has traded during the year.
One Person Companies
A lighter regime than a Private Limited Company, but a regime nonetheless — including MGT-7A and AOC-4.
Startups and early-stage companies
Founders who incorporated quickly and now need the compliance position cleaned up before a funding round.
Small and medium enterprises
Established businesses without an in-house company secretary carrying the filing calendar.

Common cases

Positions we are regularly asked to fix

  • Annual filings missed for one or more financial years
  • DIR-3 KYC not completed, with director status affected
  • Notices received from the MCA or the Registrar
  • LLP Form 8 or Form 11 pending from earlier years
  • Master data on the MCA portal no longer matching reality
  • Director appointments or resignations never filed
  • Registered office moved without the corresponding form
  • Founders unclear which regime applies to their entity

Process

How we work

  1. 01

    Compliance review

We check the public MCA record against your entity and establish exactly what has been filed and what is outstanding.

  2. 02

    Requirement assessment

We map the obligations that apply to your entity type, size and financial year, and flag anything time-critical.

  3. 03

    Document collection

A single, defined list of what we need from you — not a series of follow-up requests spread over weeks.

  4. 04

    Preparation and filing support

Forms are prepared and reviewed by a professional before submission, with attachments checked against the form requirements.

  5. 05

    Compliance monitoring

Your calendar is maintained going forward, with advance notice ahead of each due date.

Documents commonly required

The exact list depends on your entity type and what is outstanding.

  • PAN of directors
  • DIN details
  • Aadhaar card
  • Financial statements for the relevant year
  • Board resolutions
  • Shareholding details
  • Registered office documents
  • Bank statements
  • Auditor information

Timeline

The statutory calendar

The annual cycle is anchored to your Annual General Meeting. Form AOC-4 is generally due within 30 days of the AGM and Form MGT-7 within 60 days, while DIR-3 KYC runs on its own annual cycle for every person holding a DIN.

For LLPs, Form 11 and Form 8 follow a fixed annual pattern independent of any meeting. Where filings are already overdue, additional fees generally accrue per day of delay — which is why regularising a backlog earlier costs materially less than regularising it later.

We confirm the dates that apply to your entity at the review stage rather than working from a generic calendar.

Questions

Frequently asked

  • Delayed filings can usually still be completed, but additional fees generally accrue for the period of delay. The first step is a review of the MCA record to establish precisely which years and which forms are outstanding, so the cost and sequence of regularising the position are known before anything is filed.
