Compliance & Governance
Start with the right corporate structure.
The entity you register determines how you raise capital, what you file each year, and how easily you can bring in a partner later. We help you choose deliberately, then handle the incorporation.
Overview
The structure decision comes first
Most incorporation problems are not filing problems. They are structure problems that surface eighteen months later — a founder who cannot issue equity cleanly, an LLP that an investor is not set up to fund, or a shareholding split agreed verbally and never documented.
We treat registration as an advisory step rather than a form-filling exercise. Before anything is filed, we work through how the business intends to raise money, how many people will hold ownership, what the compliance appetite is, and what the realistic three-year picture looks like.
Once the structure is settled, incorporation itself is a defined process: name approval, digital signatures, director identification, the constitutional documents, and the incorporation filing.
Scope
What the engagement covers
- 01
Structure advisory
A working comparison of Private Limited, LLP and OPC against your funding plans, ownership and compliance appetite.
- 02
Name approval
Name availability checks and the reservation application, with alternatives prepared in advance.
- 03
Digital signatures and DIN
Digital Signature Certificates for subscribers and directors, and Director Identification Numbers where required.
- 04
Constitutional documents
Memorandum and Articles of Association, or the LLP agreement, drafted around your actual arrangement rather than a template.
- 05
Incorporation filing
The integrated incorporation application, prepared and reviewed before submission.
- 06
Post-incorporation setup
The first steps after the certificate — statutory registers, initial board formalities and the compliance calendar.
Fit
Who this is for
- Founders raising external capital
- Where equity will be issued to investors or employees, the structure needs to support share issuance from day one.
- Professional partnerships
- Practices and consultancies where limited liability matters but the equity story is simpler.
- Single founders
- Sole operators weighing a One Person Company against the simpler alternatives.
- Family and closely held businesses
- Existing operations formalising into a corporate structure, often with succession in mind.
- Businesses restructuring
- Operations that have outgrown their current form and need a considered conversion path.
Process
How we work
- 01
Consultation
We establish what the business does, who owns it, and how it intends to fund itself.
- 02
Structure recommendation
A clear recommendation with the trade-offs stated, not a menu of options left for you to decide alone.
- 03
Documentation
Identity, address and premises documents collected against a single checklist.
- 04
Name reservation
Application for name approval, with fallbacks ready if the first choice is rejected.
- 05
Professional review and filing
Constitutional documents drafted, reviewed and filed with the incorporation application.
- 06
Handover
Certificate of incorporation, the post-incorporation checklist, and your first-year compliance calendar.
Documents commonly required
Required from each proposed director, partner and subscriber.
- PAN card
- Aadhaar card
- Passport-size photograph
- Address proof, such as a bank statement or utility bill
- Proof of registered office address
- No-objection certificate from the premises owner
- Passport, for foreign nationals or NRI subscribers
Timeline
What drives the timeline
Incorporation runs in sequence: name approval, then digital signatures, then the incorporation filing. Each step depends on the one before it, so the practical timeline is set by document readiness at your end and processing at the Registry.
The most common delay is not the Registry. It is a rejected name, or an address proof that does not match the premises document. We check both before filing to reduce the chance of a resubmission.

Questions
Frequently asked
It generally depends on how you intend to raise capital. A Private Limited Company issues shares, which is the structure external investors are usually set up to fund. An LLP has a lighter compliance profile and suits businesses that do not plan to raise equity. The answer follows the funding plan rather than the other way round.
